Disposition

Portfolio Disposition

An acquisition is only as good as the exit that follows it. We plan for disposition from the day we close, so when the time is right, we are positioned to execute — not to prepare.

Exit Strategy Development

Strategic sale, secondary buyout, IPO, or recapitalization — we evaluate the right exit path for each asset based on market timing, buyer landscape, and investor objectives.

Business Preparation

Clean financial statements, documented processes, resolved contingent liabilities, and a management team that can present confidently. We prepare our companies to be acquired with the same discipline we applied at intake.

Valuation & Positioning

Current-market valuation and narrative development. We identify what buyers pay for and ensure our companies communicate that story clearly and with supporting data.

Buyer Universe Mapping

Strategic buyers, financial sponsors, family offices, and management buyout candidates identified and qualified. The right buyer is often not the first one who calls.

Marketing Process Management

Confidential information memorandum, management presentations, and data room managed with discretion. Information goes to qualified buyers, not the market at large.

Bid Process & Negotiation

First-round indications, management meetings, second-round bids, and final negotiations conducted with the experience of a team that has been on both sides of the table.

Due Diligence Support

Buyer diligence is the mirror image of what we conducted on intake. We respond to requests promptly, completely, and without delays that erode buyer confidence.

Transaction Structuring

Purchase price adjustments, representations and warranties, escrows, earnouts, and rollover equity negotiated to protect seller value and close the transaction.

Regulatory Clearance

Antitrust review, sector-specific regulatory approvals, and third-party consents managed from LOI through close.

Post-Close Obligations

Transition services agreements, non-competes, and earnout tracking managed through close and the subsequent obligations period. A deal is not done when it closes.
